1. Definitions
- "Agreement" — these Terms & Conditions, together with any engagement letter or written scope of work agreed between the parties.
- "Service" — the consulting services offered by Guatavita, including the Family Charter Conversation, Succession Mapping, and Whole-Business Study.
- "Client" — the individual or family firm engaging Guatavita for services.
- "We / Us / Our" — Guatavita, operating from Carrera 43A #7-50, Medellín, Colombia.
- "Website" — the site located at guatavitxk.blog.
2. Acceptance of terms
By submitting an enquiry via our website or entering into a consulting engagement with us, you confirm that you have read and agree to these terms. Our services are available to individuals aged 18 and over who have the legal capacity to enter into an agreement under Colombian law.
If you are acting on behalf of a company or family firm, you confirm that you have authority to bind that entity to this Agreement.
3. Service description
Guatavita provides facilitated consulting services for family-owned businesses, including governance facilitation, succession planning, and business review. Services are provided primarily in Colombia, in Spanish or English as agreed with each client.
The specific scope, sessions, and deliverables for each engagement are described in a written scope agreed between the parties before work commences. The scope document forms part of this Agreement.
4. Client responsibilities
- Provide accurate and complete information relevant to the engagement
- Ensure that relevant family members are available for agreed sessions
- Review and respond to draft documents within the agreed timeframe
- Communicate promptly if circumstances change in a way that affects the scope or timeline
- Not use our website for any unlawful purpose or in a way that could harm Guatavita or third parties
5. Intellectual property
The written deliverables produced during an engagement — charters, plans, study reports — become the property of the client upon full payment. Guatavita retains ownership of its proprietary methodologies, templates, and facilitation frameworks.
All content on our website is owned by Guatavita. You may not reproduce or redistribute it without our prior written consent.
6. Payment terms
Fees are stated in Colombian Pesos (COP) and are due in full before commencement of each engagement, unless an alternative payment schedule is agreed in writing. Prices are fixed as described in the agreed scope and do not change once confirmed.
Refund policy: if you cancel at least 5 business days before the first scheduled session, a full refund will be provided. Cancellations within 5 business days may be subject to a cancellation fee equivalent to one session's cost. Sessions may be rescheduled at no charge with reasonable notice.
We accept bank transfer and the payment methods stated at the time of engagement confirmation.
7. Confidentiality
All information shared with Guatavita during an engagement is treated as strictly confidential. We will not disclose client information to third parties without written consent, except where required by Colombian law. A formal confidentiality agreement is provided with each engagement scope.
8. Disclaimers
Our services are consulting and facilitation in nature. We do not provide legal, tax, financial, or investment advice. Clients should seek qualified professional advice on those matters separately.
We do not make representations about the outcomes of our engagements. Family dynamics and business circumstances are complex, and the usefulness of any deliverable depends on many factors beyond our control.
9. Limitation of liability
To the extent permitted by Colombian law, Guatavita's liability in connection with any engagement is limited to the total fees paid for that engagement. We are not liable for indirect, consequential, or incidental losses arising from the use of our services.
Neither party is liable for failure to perform obligations arising from circumstances beyond their reasonable control (force majeure).
10. Indemnification
You agree to indemnify Guatavita against claims, losses, or expenses arising from your breach of this Agreement or your misuse of our services or website.
11. Termination
Either party may terminate an engagement by written notice. If Guatavita terminates without cause, fees paid for sessions not yet delivered will be refunded. If the client terminates, the refund terms in Section 6 apply.
Sections 7 (Confidentiality), 8 (Disclaimers), 9 (Liability), and 13 (Governing Law) survive termination.
12. Dispute resolution
In the event of a dispute, the parties agree to attempt informal resolution in good faith within 30 days of one party notifying the other in writing. If informal resolution is unsuccessful, disputes shall be submitted to mediation in accordance with the rules of the Centro de Arbitraje y Conciliación of the Cámara de Comercio de Medellín before any judicial proceedings.
This Agreement is governed by the laws of the Republic of Colombia. The courts of Medellín, Colombia have jurisdiction over any proceedings that cannot be resolved through the above process.
13. General provisions
- Entire agreement: this Agreement, together with any engagement scope, constitutes the entire agreement between the parties.
- Severability: if any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: failure to enforce any provision does not constitute a waiver of future rights.
- Assignment: you may not assign your rights under this Agreement without our written consent.
- Notices: written notices may be sent by email to the addresses stated in the engagement scope.
14. Changes to these terms
We may update these terms from time to time. The current version will always be available at this address. Changes take effect 14 days after publication. Continued use of our website or services after that date constitutes acceptance of the updated terms.
